Terms of Service

1. Acceptance of Terms

By accessing or using Mayline ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a firm or organization, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.

The Service is operated by Mayline LLC, a Colorado limited liability company ("Mayline," "we," "us," or "our").

2. Description of Service

Mayline is a cloud-based project management platform designed for architecture and interior design firms. The Service includes tools for specification management, schedule management, project planning, staffing, and related features as made available from time to time.

Feature availability varies by subscription plan. Mayline reserves the right to modify, add, or remove features at any time with reasonable notice.

3. Accounts and Registration

To use the Service, you must create an account. You can sign in with an email and password, or via Microsoft or Google single sign-on. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

Each account is associated with a firm. Seat limits apply based on your subscription plan. You may not share account credentials across more than the number of seats included in your plan.

4. Subscription Plans and Billing

4.1 Plans. Mayline offers several subscription tiers with varying seat counts and project limits. Current pricing is available at mayline.app/pricing. All plans are billed on a per-firm basis, not per user.

4.2 Free Trial. New firms receive a 7-day free trial with full access to all current platform features. No credit card is required to begin a trial. At the end of the trial period, access is restricted until a paid subscription is activated.

4.3 Billing. Subscriptions are billed monthly or annually in advance. Billing is processed through Stripe. By providing payment information, you authorize Mayline to charge your payment method for the applicable subscription fees.

4.4 Upgrades. Plan upgrades take effect immediately with prorated billing applied to the current period.

4.5 Downgrades. Plan downgrades take effect at the end of the current billing period.

4.6 Cancellation. You may cancel your subscription at any time through your account billing portal. Cancellations take effect at the end of the current billing period. Access to the Service continues through the end of the paid period.

4.7 No Refunds. All subscription fees are non-refundable, including partial months following cancellation or downgrade. Mayline does not issue refunds except where required by applicable law.

4.8 Price Changes. Mayline may change subscription prices with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Free Trial Terms

The 7-day free trial provides access to all current Mayline features at no charge. At the conclusion of the trial:

• Access to the Service is restricted to read-only until a subscription is activated
• Your data is retained and remains accessible upon subscribing
• No data is deleted as a result of a trial expiring

Mayline reserves the right to modify trial terms, duration, or availability at any time.

6. Data Ownership and Privacy

6.1 Your Data. You retain ownership of all data, content, and information you enter into the Service ("Firm Data"). Mayline does not claim ownership of your Firm Data.

6.2 License to Mayline. By using the Service, you grant Mayline a limited license to store, process, and display your Firm Data solely as necessary to provide the Service.

6.3 Data Retention. Upon account termination, Mayline will retain your Firm Data for a period of 90 days, after which it may be deleted. You are responsible for exporting any data you wish to retain prior to termination.

6.4 Privacy Policy. Your use of the Service is also governed by our Privacy Policy, available at mayline.app/privacy, which is incorporated into these Terms by reference.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Transmit harmful, offensive, or unlawful content
• Attempt to gain unauthorized access to the Service or its related systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to develop a competing product
• Resell or sublicense access to the Service without written permission

Mayline reserves the right to suspend or terminate accounts that violate these terms.

8. Intellectual Property

The Service, including all software, design, text, graphics, and other content created by Mayline, is owned by Mayline LLC and protected by applicable intellectual property laws. These Terms do not transfer any Mayline intellectual property rights to you.

The Mayline name, logo, and related marks are trademarks of Mayline LLC. You may not use these marks without prior written permission.

9. Third-Party Services

The Service integrates with third-party services including Stripe (payment processing), Resend (transactional email), and Microsoft and Google (authentication). Your use of these services is subject to their respective terms and privacy policies. Mayline is not responsible for the practices or content of third-party services.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

• MAYLINE PROVIDES THE SERVICE "AS IS" WITHOUT WARRANTY OF ANY KIND
• MAYLINE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• MAYLINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• MAYLINE'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO MAYLINE IN THE 12 MONTHS PRECEDING THE CLAIM

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so the above may not apply to you in full.

11. Indemnification

You agree to indemnify, defend, and hold harmless Mayline LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your Firm Data, or your violation of these Terms.

12. Termination

12.1 By You. You may terminate your account at any time by canceling your subscription and contacting hello@mayline.app.

12.2 By Mayline. Mayline may suspend or terminate your account at any time for violation of these Terms, non-payment, or any other reason with reasonable notice. In cases of material breach, termination may be immediate.

12.3 Effect of Termination. Upon termination, your right to access the Service ceases. Data retention provisions in Section 6.3 apply.

13. Modifications to Terms

Mayline may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree to updated Terms, you must stop using the Service and cancel your subscription.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Pitkin County, Colorado. You consent to the personal jurisdiction of such courts.

15. General

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Mayline regarding the Service.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.

Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment. You may not assign your rights under these Terms without Mayline's written consent. Mayline may assign its rights without restriction.
